Terms of Service

These Terms ("Terms") govern your access to and use of the AutomationXpert toolkit, website at ax.quitlosing.in, the demo platform at webinar.quitlosing.in, and related WhatsApp services on +91 88502 91643 (together, the "Service"), operated by Anchor Fastener Mfg Corporation ("we", "us", "AX"). By using the Service you agree to these Terms.

1 · The Service

AutomationXpert is a WhatsApp-native productivity toolkit for small Indian businesses. It routes staff WhatsApp messages to your own Google Sheets and stores files in your own Google Drive ("BYOD pattern"). The Service includes seven (7) tools at V1 — Daily Tracker, EOD Report, Receivables, SOP Vault, Petty Cash, Quote Generator, Owner's Dashboard — and additional tools added over time.

2 · Eligibility

You must be at least 18 years of age, legally authorized to bind the business you are signing up for, and located in India to use the Service.

3 · Account & access

• You are responsible for maintaining the confidentiality of your WhatsApp number, Google credentials, and any tokens issued to you.
• You must promptly notify us of any unauthorised access.
• We reserve the right to suspend or terminate accounts that breach these Terms.

4 · Pricing & payment

• Current pricing tiers — Base ₹999 lifetime · AX Pro ₹2,499/month · Premium ₹4,999/month · Founder ₹2,949 lifetime (limited seats). All prices exclude 18% GST.
• Payments are processed by our payment partners (Razorpay / Stripe). We never store full card details.
• Recurring subscriptions auto-renew. Cancel any time from your account dashboard or by writing to us — see Refund Policy.
• Late or failed payments may result in service suspension after a 7-day grace period.

5 · License grant

Subject to these Terms and timely payment, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business operations. You may not:

• Resell, sublicense, or expose the Service to third parties without our prior written consent.
• Reverse engineer, decompile, or attempt to extract source code.
• Use the Service to send spam, illegal content, deceptive promotions, or any communication that violates Meta's Commerce Policy or India's TRAI / DOT regulations.
• Use the Service for any unlawful purpose, including infringement of others' intellectual property.

6 · Tenant-owned data & BYOD

You retain ownership of all data you input through the Service. Photos, bills, PDFs, and document evidence are stored in your own Google Drive — see the Privacy Policy. We hold only a read-only audit pointer. Revoke our Google Drive access at any time; we lose audit ability immediately.

7 · Service availability & changes

• We target 99.5% uptime but do not guarantee uninterrupted service.
• We may modify, suspend, or discontinue features with reasonable notice. Material changes that reduce paid functionality entitle you to a prorated refund.
• WhatsApp delivery is subject to Meta's Cloud API uptime, which is outside our control.

8 · Acceptable use

You agree not to use the Service to:

• Send unsolicited bulk messages to recipients who have not consented.
• Collect or process payment card data outside our payment partners.
• Send messages that violate WhatsApp's Commerce, Business or Messaging policies.
• Use the Service to operate businesses prohibited under Indian law (illegal gambling, narcotics, etc.).

9 · Intellectual property

The AutomationXpert name, logo, software, documentation, and toolkit are owned by Anchor Fastener Mfg Corporation. Nothing in these Terms transfers IP to you. Your business data remains yours.

10 · Disclaimer & limitation of liability

To the maximum extent permitted by Indian law:

• The Service is provided "AS IS" without warranties of merchantability or fitness for a particular purpose.
• We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• Our aggregate liability is limited to the fees you paid us in the twelve (12) months preceding the claim.
• We are not liable for data loss caused by third-party providers (Meta, Google, payment processors) or actions you take in your own Google account.

11 · Indemnification

You agree to indemnify and hold us harmless from claims arising out of your breach of these Terms, your unlawful use of the Service, or your violation of third-party rights.

12 · Termination

• You may terminate at any time by writing to us. Lifetime plans are subject to the Refund Policy.
• We may terminate for material breach, fraud, or non-payment with reasonable notice.
• Upon termination, your access ends; data retention follows the timelines in the Privacy Policy.

13 · Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute will first be attempted to be resolved by good-faith negotiation. Failing that, disputes will be referred to arbitration in Mumbai under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator in English. Subject to arbitration, the courts of Mumbai have exclusive jurisdiction.

14 · Changes to these Terms

We may update these Terms. Material changes are notified by WhatsApp or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
